fwp Advises Alta Group on an Innovative Transaction Structure Involving Addiko Bank

fwp advised Alta Group, as a shareholder of Addiko Bank AG, on all aspects of the tender offer, Austrian corporate law, and regulatory matters. The mandate was at the intersection of a cross-border M&A transaction, takeover law, banking supervision law, capital markets and securities law, and corporate law.

Now that the minimum acceptance threshold of 55% set by RBI has been reached, the closing of the takeover bid is still subject to further conditions precedent.

The advisory work was conducted in collaboration with Gecic Law, which served as the lead Serbian transaction advisor to Alta Group, and with Latham & Watkins LLP, which advised Alta Group on M&A aspects under German law.
