M&A is increasingly becoming more international. Most contracts with a cross-border component are negotiated and concluded in English.
This seminar aims at communicating how to avoid mistakes when drafting or negotiating M&A contracts. Many relevant questions such as the following will be highlighted: Scope and meaning of representations and warranties; liability limitations; the use of Anglo-American concepts under Austrian law; and price adjustment clauses.
The seminar will be held in English.
Dr. Paul Luiki, J.D., is partner at Fellner Wratzfeld & Partner Rechtsanwälte GmbH and specialises in the areas of banking & finance, M&A, international joint ventures and private equity. He is from the US and before moving to Austria practised there as a lawyer. He is also a member of the Austrian bar.
