fwp advises voestalpine on Sale of Steel Trading Group

voestalpine Stahl GmbH, a company belonging to the listed voestalpine AG, has sold voestalpine Stahlhandel GmbH to the Polish steel and metal provider Z³omrex S.A. The sales agreement was concluded in December 2006. After the approval of the transaction by the cartel authorities, 74.9 % of the shares were transferred on Wednesday, 28 March 2007. For the time being, voestalpine Stahl GmbH is retaining a participation of 25.1 %; for this participation, reciprocal put and call options have been set up, which can be exercised in two years at the earliest.
